Important: Please read these Terms and Conditions carefully before using this website or making a booking. By accessing this website, registering for any PM Masterclass session, or completing a booking, you agree to be bound by these Terms and Conditions in their entirety. If you do not agree, you must not proceed with any booking or use of this website.

1. Definitions and Interpretation

In these Terms and Conditions, the following words and phrases shall have the meanings set out below:

"ADS" / "we" / "us" / "our"Africa Digital Success (Pty) Ltd, a company registered in South Africa, which owns and operates the PM Masterclass programme.
"Booking"A confirmed registration by a Participant or Corporate Client for one or more Sessions, accepted by ADS and evidenced by a Booking Confirmation and unique Booking Reference.
"Booking Confirmation"The email sent by ADS confirming a successful Booking, containing the Booking Reference, Session details, and payment status.
"Booking Reference"The unique alphanumeric identifier (in the format ADS-YYYY-NNNNN, e.g. ADS-2026-00042) assigned to each confirmed Booking.
"Corporate Client"A company, organisation, or other legal entity that books Sessions for five (5) or more Participants, or elects to be billed through a corporate account.
"Corporate Pricing"The preferential per-person pricing applicable to Corporate Clients booking five (5) or more Participants for the same Session.
"Credit Note"A document issued by ADS entitling the holder to apply a specified monetary value towards a future Booking, valid for twelve (12) months from the date of issue unless otherwise stated.
"Participant"Any individual who is registered to attend a Session, whether booked individually or as part of a group or Corporate Booking.
"PDUs"Professional Development Units recognised by the Project Management Institute (PMI) and other applicable professional bodies, earned upon completion of a qualifying Session.
"Programme"The PM Masterclass training programme offered by ADS, comprising six (6) distinct Tracks and a Full Course option as described on this website.
"Session"A specific scheduled delivery of a Track or the Full Course on a defined date, at a specified venue or virtual platform, with defined capacity.
"Track"One of the six themed training modules (Track A through Track F) or the Full Course Intensive Experience that make up the PM Masterclass Programme.
"User" / "you" / "your"Any person accessing or using this website, including prospective Participants, Corporate Clients, and their authorised representatives.
"Website"The ADS PM Masterclass booking and information website at www.africadigitalsuccess.com and all associated pages and subdomains.
"Voucher"A gift voucher or promotional credit code issued by ADS that may be applied to reduce the amount payable for a Booking, subject to its specific terms.

References to 'including' or 'includes' are not limiting. Headings are for convenience only and do not affect interpretation. References to legislation include all amendments and successor legislation. The singular includes the plural and vice versa.

Africa Digital Success (Pty) Ltd is a South African IT consulting and professional development firm specialising in digital transformation, project management excellence, and executive education. The PM Masterclass Programme represents our flagship professional training offering, designed for project management professionals across all industry sectors.

3. Acceptance of Terms

3.1  By accessing the Website, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions, together with our Privacy Policy and Cookie Policy, which are incorporated herein by reference.

3.2  A binding contract is formed between you (or your Corporate Client) and ADS at the point that ADS issues a Booking Confirmation. Until that point, no Booking is confirmed and ADS is not obligated to reserve seats for you.

3.3  If you are making a Booking on behalf of a Corporate Client or other third party, you warrant that you have the authority to bind that entity to these Terms and Conditions.

3.4  ADS reserves the right to amend these Terms and Conditions at any time. The version published on the Website at the time of your Booking shall govern that Booking. We will notify registered users of material changes by email.

3.5  These Terms and Conditions apply to all Bookings made through the Website, by email, by telephone, or through any other channel unless a separate written agreement has been executed between ADS and a Corporate Client.

4. The PM Masterclass Programme

4.1  Programme Description

The PM Masterclass Programme comprises the following Tracks, each designed to deliver targeted project management competencies:

All prices are quoted exclusive of Value Added Tax (VAT) unless expressly stated otherwise. VAT at the prevailing rate (currently 15%) will be added to all amounts and will be itemised separately on invoices and receipts.

ADS reserves the right to update prices for future Sessions. Prices confirmed at the time of Booking will be honoured for that Booking.

4.2  Delivery Format

Sessions are delivered in one of three formats:

ADS reserves the right to change the delivery format of any Session where circumstances require it (including but not limited to government directives, venue unavailability, or force majeure events). Where a format change from in-person to virtual represents a material change, affected Participants will be notified and offered the option to transfer or receive a Credit Note.

4.3  Session Capacity

Each Session has a maximum capacity as displayed on the Website. ADS operates a first-come, first-served booking policy subject to payment. A seat is only confirmed upon receipt of full payment or an accepted deposit arrangement. Expressions of interest or partially completed booking forms do not constitute a confirmed reservation.

5. Booking and Registration

5.1  Booking Process

5.1.1  Bookings are made through the online booking process on the Website. Completion of the booking process and receipt of a Booking Confirmation email constitutes a confirmed Booking.

5.1.2  All required fields in the booking form must be completed accurately. ADS accepts no liability for errors arising from inaccurate information provided by the User during the booking process.

5.1.3  A temporary seat hold of fifteen (15) minutes is applied when you select a Session. This hold is released automatically if the booking process is not completed within the hold period. ADS does not guarantee seat availability beyond the active hold period.

5.1.4  One-time hold extension of ten (10) additional minutes may be available at the discretion of the system. Only one extension is permitted per booking attempt.

5.2  Participant Information

When completing a Booking, you must provide the following information for each Participant:

ADS will use this information to prepare for the Session, communicate with Participants, and issue certificates. It will be processed in accordance with our Privacy Policy and the Protection of Personal Information Act 4 of 2013 (POPIA).

5.3  Accuracy of Information

You warrant that all information provided during the booking process is accurate, complete, and up to date. ADS reserves the right to cancel a Booking where materially inaccurate information has been provided, subject to the applicable cancellation terms.

5.4  Save and Continue Later

The Website provides a 'Save and Continue Later' function that stores an incomplete booking draft for retrieval within 30 days. Draft bookings do not constitute confirmed Bookings and do not hold or reserve seats. Saved drafts are subject to session availability at the time of completion.

5.5  Waitlist

5.5.1  Where a Session is fully booked, Users may join the waitlist by providing their name, email address, and contact number. Joining the waitlist does not guarantee a booking.

5.5.2  Waitlist Participants are notified by email when a seat becomes available and are given a time-limited opportunity (24 to 48 hours as specified in the notification) to confirm their Booking. If the booking is not completed within this window, the seat is offered to the next person on the waitlist.

5.5.3  Waitlist priority is on a first-in, first-out basis.

6. Pricing and Payment

6.1  Prices and VAT

6.1.1  All prices published on the Website are subject to VAT at 15% unless expressly stated as VAT-inclusive. The VAT amount is displayed separately during the booking process and on all invoices and receipts.

6.1.2  ADS reserves the right to correct pricing errors on the Website. If an error is discovered after a Booking is confirmed, ADS will contact you to discuss the options of confirming the Booking at the correct price, cancelling, or receiving a full refund of any amounts paid.

6.2  Payment Methods

The following payment methods are accepted:

ADS does not store card details on its servers. All card transactions are processed by PayFast, a PCI DSS-compliant payment gateway, subject to PayFast's own terms and conditions.

6.3  Deposit Payments (Corporate Clients)

6.3.1  Corporate Clients may elect to pay a deposit of fifty percent (50%) of the total Booking value at the time of Booking, with the remaining fifty percent (50%) due no later than thirty (30) days before the Session start date.

6.3.2  Where the balance due date falls within 30 days of the Booking date, full payment is required at the time of Booking.

6.3.3  Failure to settle the outstanding balance by the due date may result in cancellation of the Booking without refund of the deposit. ADS will issue a reminder seven (7) days before the balance due date.

6.4  Manual EFT Bookings

Where payment by manual bank transfer is selected, the seat reservation is held pending receipt of cleared funds. If payment is not received within the stated period, the reservation lapses and the seat(s) are released. ADS is not liable for any loss arising from a lapsed reservation due to non-payment.

6.5  Invoices and Receipts

ADS will issue a tax invoice upon confirmation of payment. Tax invoices are sent to the email address provided during booking. For corporate bookings, invoices may be addressed to the Corporate Client entity as specified during the booking process.

6.6  Outstanding Amounts

Any amounts outstanding for a period exceeding thirty (30) days from the due date may be subject to interest at the prime lending rate plus two percent (2%) per annum, calculated monthly. ADS reserves the right to recover legal costs on a full attorney-and-client scale for amounts referred for collection.

7. Corporate Bookings

7.1  Corporate Pricing Qualification

Corporate Pricing applies automatically when five (5) or more Participants are booked for the same Session. Where a Corporate Client wishes to access Corporate Pricing for fewer than five (5) Participants, a written request must be submitted to ADS and is subject to ADS's discretion.

7.2  Corporate Account Features

Corporate Clients may register a corporate account on the Website, which provides access to the following features:

Corporate account credits expire as specified at the time of purchase or loading. Unused credits are non-refundable unless otherwise agreed in writing.

7.3  Participant Substitution

Corporate Clients may substitute Participants at any time prior to the Session start date, subject to notification to ADS by email with the new Participant's details at least three (3) business days before the Session. Substitution requests received with less than three (3) business days' notice are subject to ADS's reasonable discretion and operational capacity.

7.4  Adding Participants Post-Booking

Corporate Clients may request to add Participants to an existing Booking subject to Session availability. Additional Participants will be invoiced at the applicable Corporate Pricing rate. Additions are subject to capacity and cannot be guaranteed.

7.5  CSV Upload

For groups of five (5) or more Participants, Corporate Clients may upload Participant details via the CSV upload facility on the Website. ADS provides a template for this purpose. Corporate Clients are responsible for the accuracy of all data uploaded via CSV.

8. Cancellation, Substitution and Transfers

All cancellation requests must be submitted in writing to info@africadigitalsuccess.com, quoting your Booking Reference. Cancellations are effective from the date ADS acknowledges receipt of the written cancellation request.

8.1  Cancellation Policy

The following cancellation terms apply to all Bookings, calculated based on the number of calendar days' written notice given before the Session start date:

Where a Booking covers multiple Participants, the cancellation terms apply per Participant being cancelled.

Refunds, where applicable, will be processed within ten (10) business days of the approved cancellation to the original payment method.

8.2  Credit Notes

8.2.1  Credit Notes are valid for twelve (12) months from the date of issue and may be applied to any ADS PM Masterclass Booking within that period.

8.2.2  Credit Notes are non-transferable except with prior written consent from ADS and are not redeemable for cash.

8.2.3  Where a Credit Note is used for a Booking of lesser value, the remaining balance is forfeited unless otherwise agreed in writing.

8.3  Individual Participant Substitution

Individual Participants (non-corporate bookings) may substitute another person in their place subject to the following conditions:

9. Session Cancellation by Africa Digital Success

9.1  Right to Cancel or Reschedule

ADS reserves the right to cancel or reschedule any Session where:

9.2  Remedies for ADS-Initiated Cancellation

Where ADS cancels a Session, affected Participants will be offered, at their election:

ADS's liability for a cancelled Session is limited to the remedies set out above. ADS shall not be liable for any consequential, indirect, or incidental losses arising from a cancelled Session, including but not limited to travel, accommodation, or lost earnings.

9.3  Rescheduled Sessions

Where ADS reschedules rather than cancels a Session, Participants will be notified of the new date. Participants who cannot attend the rescheduled date are entitled to a full refund or Credit Note as set out in clause 9.2 above.

10. Certificates and Professional Development Units (PDUs)

10.1  Certificate of Completion

10.1.1  A Certificate of Completion is issued to Participants who fulfil all attendance requirements for a Session. ADS defines full attendance as attending not less than ninety percent (90%) of the scheduled programme hours.

10.1.2  Certificates are issued in digital PDF format and delivered by email within five (5) business days of Session completion.

10.1.3  Certificates bear a unique Verification Code that can be validated through the ADS certificate verification portal.

10.2  PDU Allocation

PDUs are allocated per Track as follows: Full Course (35 PDUs), Tracks A, B, and C (21 PDUs each), and Tracks D, E, and F (14 PDUs each). PDU allocations are indicative based on current programme structure and are subject to change if the programme is amended. ADS makes no warranty regarding the acceptance of these PDUs by any particular professional body, as submission and acceptance is the Participant's responsibility.

10.3  Re-issue of Certificates

Participants may request a re-issue of a lost or damaged certificate by contacting ADS. A re-issue fee may apply for requests made more than twelve (12) months after the original issue date.

10.4  Revocation

ADS reserves the right to revoke a certificate where it is discovered that a Participant obtained certification through fraudulent means, including but not limited to misrepresentation of attendance, impersonation, or academic dishonesty.

11. Course Materials and Intellectual Property

11.1  Ownership

All course materials, content, handouts, presentations, videos, frameworks, tools, templates, and resources provided as part of the PM Masterclass Programme are the exclusive intellectual property of Africa Digital Success (Pty) Ltd or its licensed content partners and are protected by South African and international copyright law.

11.2  Permitted Use

Participants are granted a limited, non-exclusive, non-transferable, personal licence to use course materials for their own professional development and reference purposes only. This licence does not permit:

Where digital course materials are made available for download through the ADS materials portal, access is granted for a period of ninety (90) days following the Session completion date unless otherwise specified. ADS reserves the right to limit, restrict, or discontinue access to materials at any time.

11.4  Infringement

Any unauthorised use of ADS intellectual property will constitute a breach of these Terms and Conditions and may result in civil and/or criminal proceedings. ADS reserves all rights to seek damages, including consequential damages, for infringement.

12. Code of Conduct

12.1  All Participants are expected to conduct themselves professionally and respectfully during Sessions. ADS is committed to providing an inclusive learning environment free from discrimination, harassment, and disruptive behaviour.

12.2  ADS reserves the right to remove any Participant from a Session without refund where the Participant:

12.3  Recording of Sessions is strictly prohibited unless expressly authorised in writing by ADS. Any unauthorised recording constitutes a breach of these Terms and Conditions and ADS's intellectual property rights.

13. Limitation of Liability

13.1  Limitation

To the maximum extent permitted by applicable South African law, ADS's total aggregate liability to any User or Participant arising out of or in connection with a Booking or the Programme (whether in contract, delict, or otherwise) shall not exceed the total amount paid by that User or Participant for the specific Booking giving rise to the claim.

13.2  Exclusions

ADS shall not be liable for:

Participants attend Sessions at their own risk. ADS does not accept liability for personal injury, loss of property, or damage to property sustained at in-person Sessions unless caused by ADS's gross negligence or wilful misconduct.

13.4  Warranties

ADS warrants that the PM Masterclass Programme will be delivered by suitably qualified facilitators and that course content is accurate to the best of ADS's knowledge at the time of delivery. ADS does not warrant specific outcomes, qualifications, or employment results from attendance at the Programme.

14. Data Protection and Privacy (POPIA)

14.1  ADS processes personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA) and our Privacy Policy, which forms part of these Terms and Conditions.

14.2  By completing a Booking, you consent to ADS processing the personal information of all Participants for the following purposes:

14.3  Marketing consent is optional and separate from the Booking process. You may withdraw marketing consent at any time by clicking the unsubscribe link in any marketing communication or by contacting ADS directly.

14.4  ADS does not sell personal information to third parties. Personal information may be shared with third-party service providers (including email delivery services, payment processors, and certificate platforms) only to the extent necessary to deliver the Programme and related services, subject to appropriate data processing agreements.

14.5  Data subjects have the right to access, correct, and request deletion of their personal information in accordance with POPIA. Requests should be submitted to: info@africadigitalsuccess.com.

15. Website Use and Technical Terms

15.1  The Website is provided on an 'as is' and 'as available' basis. ADS does not warrant that the Website will be uninterrupted, error-free, or free from viruses or other harmful components.

15.2  ADS reserves the right to modify, suspend, or discontinue any aspect of the Website at any time without notice. ADS shall not be liable for any loss arising from unavailability of the Website.

15.3  Users must not attempt to gain unauthorised access to any part of the Website, its underlying systems, or associated databases. Any such attempt may constitute a criminal offence under the Cybercrimes Act 19 of 2020 and will be reported to the relevant authorities.

15.4  The Website may use cookies and similar tracking technologies. Users consent to this by continuing to use the Website. Further details are set out in our Cookie Policy.

15.5  Links to third-party websites are provided for convenience only. ADS does not endorse and is not responsible for the content of third-party websites.

16. Discount Codes, Vouchers and Promotions

16.1  Discount Codes

Discount codes are promotional codes issued by ADS that reduce the price of a Booking. Unless stated otherwise:

16.2  Gift Vouchers

Gift Vouchers are monetary-value instruments that may be applied to any Booking subject to the following:

16.3  Early Bird Pricing

Where an Early Bird price is offered, it is valid only for Bookings completed before the Early Bird deadline displayed on the Website. Once the deadline passes, the standard price applies. ADS will not retrospectively apply Early Bird pricing to Bookings made after the deadline.

17. Governing Law and Dispute Resolution

17.1  These Terms and Conditions are governed by and shall be construed in accordance with the laws of the Republic of South Africa.

17.2  Any dispute arising from or in connection with these Terms and Conditions or any Booking shall first be referred to good-faith negotiation between the parties. If the dispute is not resolved within twenty (20) business days of written notice, either party may refer the dispute to mediation through the Arbitration Foundation of Southern Africa (AFSA) before commencing litigation.

17.3  The parties consent to the jurisdiction of the Gauteng High Court, Pretoria, for the resolution of any dispute not resolved through negotiation or mediation.

17.4  Nothing in this clause prevents ADS from seeking urgent interim relief from a court of competent jurisdiction.

18. General Provisions

18.1 Severability: If any provision of these Terms and Conditions is found to be invalid, unlawful, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

18.2 Whole Agreement: These Terms and Conditions, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements, understandings, representations, and warranties.

18.3 Waiver: No failure or delay by ADS in exercising any right under these Terms and Conditions shall constitute a waiver of that right.

18.4 Assignment: Users may not assign or transfer any rights or obligations under these Terms and Conditions without ADS's prior written consent. ADS may assign its rights and obligations to any successor entity.

18.5 Force Majeure: ADS shall not be liable for any failure or delay in performing its obligations under these Terms and Conditions where such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, pandemic, government restrictions, load-shedding beyond scheduled stages, industrial action, or failure of third-party service providers. ADS will notify affected Participants promptly and will endeavour to make alternative arrangements where practicable.

18.6 Consumer Protection: To the extent that the Consumer Protection Act 68 of 2008 applies, nothing in these Terms and Conditions is intended to limit or exclude any rights that cannot lawfully be excluded under that Act.
